Terms of Service

Private beta. Nicole Assist is in limited private beta. These terms apply to invited beta participants. A final, counsel-reviewed version will replace this document before general availability. For questions or a negotiated beta agreement, email support@nicoleassist.com.

1. Who we are

Nicole Assist is operated by Frank Shultz (the “Service”). Registered business details and legal entity will be published here before exit from beta. Throughout these terms, “you” means the individual or organization that signs up for the Service, and “we” means Nicole Assist.

2. What the Service does

Nicole Assist is an autonomous scheduling assistant. You connect a Microsoft 365 account; we read free/busy from your calendars, receive scheduling emails at a subdomain we provision, and (when you opt out of dry-run) send emails and create calendar events on your behalf. We do not act outside the scope of scheduling.

3. Your responsibilities

  • Maintain the confidentiality of your login and session cookies.
  • Keep your email address current so you can receive security notices.
  • Not use the Service to send spam, harass third parties, or violate any law that applies to you or the recipients of email we send on your behalf.
  • Tell us promptly if you believe your account has been compromised (support@nicoleassist.com).

4. Dry-run and safety

New accounts start in dry-run mode. In dry-run, Nicole drafts replies and event changes but does not send or create anything until you approve each draft in the dashboard. You can switch dry-run off for your tenant at any time; we may, at our sole discretion, re-enable dry-run platform-wide if we detect abuse or a systemic error.

5. Your data

You own your data. What we store, how long we keep it, and the sub-processors we share it with are described in our Privacy Policy and our Subprocessors list. You can export your tenant’s audit log from the dashboard at any time. You can request deletion of your tenant by emailing support@nicoleassist.com; we delete within 30 days of request, subject to backup rotation.

6. Beta service level

During beta, the Service is provided AS IS and AS AVAILABLE. We do not guarantee uptime, retention, backward compatibility, or any specific feature. We may introduce breaking changes with reasonable notice. For paid or production use we will execute a separate written agreement.

7. Limitation of liability

To the maximum extent permitted by law, Nicole Assist is not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost revenue, lost data, or business interruption. Our total aggregate liability for direct damages is capped at one hundred U.S. dollars ($100) for the beta period.

8. Termination

You can close your account at any time by emailing support@nicoleassist.com. We may suspend or terminate accounts that violate these terms, create security risk for other tenants, or that we determine in good faith are abusing the Service.

9. Changes to these terms

We may update these terms. Material changes will be emailed to the address on file before they take effect. Continued use of the Service after the effective date constitutes acceptance.
